Terms of service.

1. Applicability

These general terms and conditions apply to all assignments, quotations, invoices and related agreements of LeadR B.V., represented by Delia Munteanu, established at Leeuwerikendreef 13, 2980 Zoersel, with company number BE1009.535.814.
By placing an order, the client declares to agree with these general terms and conditions, with the explicit exclusion of any of the client’s own terms and conditions.

2. Quotations

2.1. All prices listed in the quotation are exclusive of VAT.

2.2. The quotation is valid for 15 days and must be accepted in writing by the client.
If acceptance occurs after this period, no agreement is formed unless explicitly accepted in writing by Delia Munteanu. The agreement that comes into effect after acceptance includes the full quotation and these general terms and conditions.

2.3. If the quotation stipulates a fixed price, this amount includes the price for the complete assignment, including three revision rounds. These revision rounds allow the client to request graphic and/or textual adjustments to the proposed design.
If the revision rounds are exceeded, an hourly fee will be charged for additional hours after verbal notice.

2.4. If the quotation stipulates a price based on an hourly rate, the estimate reflects the number of hours reasonably required to fulfil the assignment, based on the information available at the time of the quotation.
Here too, two revision rounds are included. Delia Munteanu undertakes a best-efforts obligation to execute the assignment in accordance with the quotation.

2.5. The quotation grants the right to one fully developed concept. It does not include the development of all ideas proposed during the ideation phase. If the client wishes to have additional ideas elaborated, an extra fee will be agreed upon.

3. Assignment

Upon accepting the quotation, the client shall provide all necessary information and wishes to Delia Munteanu.
The client undertakes to provide timely feedback during the planned revision rounds. Delia Munteanu performs the assignment to the best of her abilities.
Trust in her technical expertise and creative know-how is fundamental.
Rejection of delivered work on grounds of aesthetic and/or subjective preferences can never justify termination of the assignment nor non-fulfilment of the client’s own obligations.

4. Delivery

4.1. Before delivery

The agreed delivery term is indicative. Delia Munteanu will keep the client informed of any delays, without this giving rise to price reductions or damages.
Late feedback during revision rounds, or additional revisions requested by the client, will automatically extend the delivery deadline.

In case of abnormal delay without cause, the client has the right to cancel the assignment in writing without further recourse or compensation.

Delia Munteanu may charge an additional fee if the client requests delivery sooner than the planned or agreed timeline.

Situations of force majeure, illness, or illness of family members always extend the delivery term.

If the client or third parties (approved by both parties) fail to provide required information or feedback on time, the delivery term is extended accordingly.

Delia Munteanu is not responsible for delays caused by changes made by the client to the original assignment.

“Delivery” refers to the supply of materials and deliverables belonging to the final assignment, in usable formats (eps, png, svg, etc.).

4.2. After delivery

The client must check the delivered work before taking any action such as printing, publishing, or formatting.
Delia Munteanu is not responsible for proof-reading final print files and is not liable for reprint costs resulting from typographical errors or issues arising after approval.

If part of the delivered work does not conform to the assignment, the client must notify Delia Munteanu in writing (post or email) within 8 days.
This notification must describe the issues in detail.

Liability is limited to:
(a) refund of the price for the non-conforming part, or
(b) re-execution of that part — at Delia Munteanu’s choice.

This revision does not affect the payment obligation for other parts of the assignment and does not entitle the client to additional compensation.

The client must prove that the delivered materials do not meet the normal requirements of the assignment as described in Article 3.

Approval of the delivered materials releases Delia Munteanu from responsibility for errors or omissions afterwards.

5. Invoicing

5.1. If a deposit is required, it is invoiced upon acceptance of the quotation and must be paid within 14 days. Any delay automatically extends the delivery deadline.

5.2. If the quotation is divided into phases, each phase will be invoiced separately upon completion. Each phase must be paid within 14 days. Delays extend subsequent delivery deadlines.

5.3. The final price and transferred copyrights are invoiced upon delivery of the quoted project or sub-project, minus any deposit.

5.4. Any invoice dispute must be submitted within 8 days via registered mail. Without such notice, the invoice is deemed accepted.

5.5. All invoices must be paid within 14 days of the invoice date.

5.6. After this deadline, the client automatically owes, without prior notice:
• A lump-sum compensation equal to 10% of the invoice amount;
8% annual interest, calculated pro rata from the day after the due date.

5.7. Under article 261 WIB 92, the client is designated as the debtor of the withholding tax applicable to the portion of the quotation relating to copyright transfer, and is responsible for withholding and applying the legal cost allowance. Delia Munteanu will include this split on the invoice.

6. Termination

6.1. In case the client terminates the assignment prematurely, all costs and hours already performed will be invoiced. Deposits are non-refundable; hours exceeding the deposit will be invoiced.

6.2. Upon termination, intellectual property rights are not transferred unless expressly agreed in writing.

7. Intellectual Property

7.1. Commencement

Rights only transfer once all invoices have been fully paid. Until then, no rights are deemed transferred.

7.2. Warranty

Delia Munteanu confirms authorship of all delivered materials, except third-party materials requiring licences (fonts, photos, style guides, etc.).
The client will be informed of required licences.
Delia Munteanu guarantees that all her original work is free from third-party claims.
The client guarantees that all materials they provide (texts, photos, logos, data etc.) do not infringe third-party rights and indemnifies Delia Munteanu for misuse thereof.

7.3. Transfer

In accordance with Article XI.167 WER, the economic rights must be expressly transferred. Delia Munteanu grants the client the right to reproduce, publicly communicate and exploit the delivered work in the broadest sense, throughout the full term of copyright and worldwide — including sublicensing.

Exception: commercial merchandise sold for profit requires separate agreement.

Drafts produced in preparation for the assignment remain the property of Delia Munteanu.

7.4. Self-promotion

Delia Munteanu retains the right to use the client’s name and/or parts of the delivered work in her portfolio, marketing, social media, website, archiving, publications, and educational contexts, without revealing business secrets.

8. Applicable Law and Jurisdiction

All assignments, quotations, agreements, invoices and related disputes are governed exclusively by Belgian law.
Only the courts of the judicial district of Antwerp have jurisdiction.
